Terms of Service

These terms are an agreement between you and Lightning Leap Analytics Pvt Ltd ("we", "us"), the operator of toquorum. By creating an account or using toquorum you agree to them. Please read the disclaimer in section 02 carefully — it is the most important part.

What toquorum is
toquorum is software for reaching and recording group decisions. A convener sets up a project, invites parties, the parties decide together — with optional AI drafting or document import — reach quorum, sign, and receive a signed PDF record (a “deed”).
toquorum is a tool that you operate. The decisions, documents, terms, and signatures are yours; toquorum records and assembles them.

Not legal advice — important
toquorum is not a law firm and does not provide legal advice. We are not your lawyer, and using toquorum does not create a lawyer–client relationship. The platform, its templates, and any AI-generated text are provided for convenience only and may be incomplete or wrong for your situation.
You are responsible for the legal effect of anything you create, sign, or deliver through toquorum. For decisions that carry legal, financial, or tax consequences, consult a qualified professional in the relevant jurisdiction before you rely on them.

Pilot release
toquorum is currently offered as an early-access pilot. It is provided “as is” and “as available”, may change or pause, and may contain errors. Do not use it as the sole system of record for anything you cannot afford to lose or re-create.

Your account
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be legally able to enter contracts in your jurisdiction. Parties you invite may participate without an account via a one-time link; you are responsible for who you invite and the accuracy of their contact details.

Acceptable use
You agree not to use toquorum to:
- break the law, infringe others’ rights, or facilitate fraud;
- upload content you have no right to share, or others’ personal data without a basis;
- impersonate anyone or forge a party’s consent or signature;
- probe, overload, scrape, or attempt to circumvent the security of the service;
- misuse the AI features (e.g. prompt-injection, generating unlawful content).

Your content
You keep all rights to the projects, documents, and data you put into toquorum. You grant us a limited licence to host, process, and transmit that content solely to operate the service for you (including sharing it with the parties to a project and, where you use AI features, with our AI providers). We do not sell your content or use it to train models.

Electronic signatures & deeds
toquorum captures electronic agreement and produces a signed PDF record. Electronic signatures are recognised in many places — for example under the U.S. ESIGN Act and UETA, and under India’s Information Technology Act, 2000 — but their validity for a particular document depends on the type of document, the jurisdiction, and how consent was obtained.
You are responsible for confirming that an electronic record and signature are legally sufficient for your purpose. Some instruments (for example certain wills, deeds of real property, or notarised documents) may require additional formalities that toquorum does not provide.

AI features
Some features use third-party AI models to draft text, summarise documents, or extract clauses. AI output can be inaccurate, biased, or fabricated. Always review AI output before relying on it, and treat it as a draft, never a final legal position. Content you submit to an AI feature is sent to the relevant AI provider to produce a response.

Fees
During the pilot, toquorum is offered free of charge or with complimentary credits. When paid plans are introduced, prices and terms will be shown before you pay, and payments will be processed by our payments provider (Dodo Payments) acting as merchant of record. We may change pricing prospectively with notice.

Availability, suspension & termination
We may modify, suspend, or discontinue the service, and may suspend or terminate accounts that violate these terms or create risk for the service or other users. You may stop using toquorum at any time. On termination, sections that by their nature should survive (ownership, disclaimers, liability, governing law) continue to apply.

Disclaimers & limitation of liability
To the maximum extent permitted by law, toquorum is provided without warranties of any kind, and we are not liable for indirect, incidental, or consequential damages, or for loss of data, profits, or the legal effect (or lack of effect) of any record produced through the service. Where liability cannot be excluded, it is limited to the amount you paid us in the three months before the claim (which, during the free pilot, may be nil).

Governing law
These terms are governed by the laws of India, and the courts at the seat of Lightning Leap Analytics Pvt Ltd have jurisdiction, except where the mandatory consumer-protection law of your country of residence gives you additional rights that cannot be waived. We offer toquorum to users in the United States and India among other places; you are responsible for complying with the laws that apply to you.

Changes & contact
We may update these terms; material changes will be notified in-app or by email, and the “last updated” date above will change. Continued use after a change means you accept it.
